Terms And Conditions

Owner/Operator: Kawiwi International Limited ("Kawiwi", "we", "our", "us")

Product brand: VIP by KAWIWI (the "App" / the "Platform")

 

1. Acceptance

 

By creating an account or using the Platform, you agree to these Terms. If you use the Platform on behalf of a company, you represent you have authority to bind that company.

 

2. The Platform & Role

 

The Platform facilitates transactions between customers, independent vendors and independent riders/service providers. Kawiwi International Limited, its directors, employees and affiliates are not parties to the sale of products/services between users and are not responsible for vendor inventory, quality, safety or legality.

 

3. Accounts & Eligibility

 

You must be 18+ to create an account or transact.

 

Keep your credentials secure; you are responsible for activity on your account.

 

We may verify identity (KYC) for vendors/riders, including driver’s licence, vehicle documents and facial verification for security.

 

 

4. Vendor Participation & Fees

 

Fee Model Choice (one active at a time):

 

Commission Model: 10% commission per completed sale.

 

Subscription Model (monthly, prepaid):

 

Basic: K500 — up to 50 product listings and 500 orders/month.

 

Premium: K1,500 — up to 500 product listings and 1,000 orders/month.

 

VIP: K5,000 — unlimited listings and unlimited orders/month.

 

Exceeding listing or order limits may require an immediate upgrade to the next tier; otherwise excess orders may be paused until upgrade or the next billing cycle.

 

 

Vendors can switch models/tier at the end of their current billing cycle.

 

No service/admin fee currently.

 

VAT will apply only when legally required; if introduced, we will provide notice and show it as a separate line item.

 

 

Vendor responsibilities

 

Accurate listings, lawful products, proper pricing, stock management and after‑sales support.

 

Compliance with consumer protection, health, safety and advertising rules (including Pharmacy and food standards).

 

Honour warranties/returns as per Refund Policy.

 

 

5. Riders

 

Riders are independent contractors.

 

Platform commission on rider earnings: 10% per completed delivery.

 

Riders must comply with traffic and safety laws; maintain valid licences, insurance and roadworthy vehicles.

 

Location services may operate in the background during an active delivery for routing, safety and proof of service.

 

 

6. Rental

 

Rental (distance‑based, hourly and daily pricing); waiting time, tolls and extras may apply. Security deposit may be required; renter is responsible for fuel, traffic fines, tolls, and returning the vehicle on time and in the same condition (fair wear and tear excepted). Cleaning and late‑return fees may apply.

 

Damage, theft or third‑party claims are the renter’s responsibility unless covered by applicable insurance selected at booking. Terms may vary by vehicle partner; see in‑app vehicle‑specific terms before booking.

 

 

7. OrdersDelivery & Risk

 

Risk of loss passes to the customer upon delivery to the specified address or pickup confirmation.

 

Perishables (Food/Grocery) and Pharmacy items have special handling and limited return rights (see Refund Policy).

 

Delivery windows are estimates; delays may occur.

 

 

8. Prohibited Uses & Items

 

You may not:

(i) violate laws, infringe IP, sell unsafe/illegal goods; (ii) post misleading or harmful content; (iii) interfere with the Platform; (iv) scrape or reverse engineer; (v) use another person’s account without permission. Prohibited items include (non‑exhaustive): illegal drugs, weapons, counterfeit goods, stolen property, hazardous materials.

 

9. Intellectual Property

 

All Platform content, trademarks (including VIP by KAWIWI), logos, code and designs are owned by or licensed to Kawiwi and are protected by law. You may not copy or use them without permission.

 

 

10. Disclaimers & Limitation of Liability

 

The Platform is provided “as is” and “as available.” We disclaim all warranties to the maximum extent permitted by law.

 

To the fullest extent permitted by law, Kawiwi International Limited, its directors, employees, agents and affiliates are not liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for vendor products/services, rider acts/omissions, loss of data, profits, goodwill or business interruption.

 

Aggregate liability cap: If liability cannot be excluded, our total liability to any user for all claims in the aggregate shall not exceed the greater of (a) the amounts you paid to Kawiwi in the three (3) months preceding the claim, or (b) K1,000.

 

 

11. Indemnity

 

You agree to indemnify and hold harmless Kawiwi International Limited and its directors, employees and affiliates from any claims, losses, liabilities, damages, costs and expenses (including legal fees) arising out of your (i) use of the Platform, (ii) products/services you sell or deliver, (iii) breach of these Terms or laws, or (iv) violation of third‑party rights.

 

12. Suspension & Termination

 

We may suspend or terminate accounts for suspected fraud, unlawful activity, safety risks or material breaches. Fees already paid are non‑refundable unless required by law.

 

 

13. Changes

 

We may update these Terms and will post the new date above. Continued use after changes constitutes acceptance.

 

 

14. Governing Law & Dispute Resolution

 

These Terms are governed by the laws of Zambia. Disputes shall be resolved by confidential binding arbitration in Lusaka before a single arbitrator, in English, unless otherwise required by law. Each party bears its own costs; the arbitrator may award costs in their discretion. Injunctive relief for IP or platform abuse may be sought in competent courts.
